What Korean law says
- ·Art. 2①: A 'foreigner' includes foreign nationals, corporations established under foreign law, and designated international economic cooperation organizations. A 'foreign-invested company' (외국인투자기업) means a company or non-profit corporation in which a foreign investor has made an equity contribution (Art. 2①-6).
- ·Art. 4①②: Foreign investment in Korea is generally liberalized — foreigners may conduct foreign investment activities without restriction, except in cases involving national security/public order, public health/environment, or violation of Korean law (Art. 4②).
- ·Art. 5①: In principle, a foreigner must file a foreign investment declaration with the Minister of MOTIE BEFORE making the investment, in the manner prescribed by MOTIE ordinance (Art. 5①).
- ·Art. 5②: Exceptionally, if acquiring existing shares of a listed company (excluding public-interest corporations and companies with share-acquisition restrictions under individual laws), or in certain reinvestment situations, the declaration may be filed within 60 days after acquisition (Art. 5②).
- ·Art. 3①②③: The foreign investor's profits from shares, proceeds from share sales, and principal/interest/fees from loan agreements are guaranteed for overseas remittance. Foreign investors and foreign-invested companies are generally entitled to the same treatment as Korean nationals/companies, including applicable tax reduction/exemption provisions (Art. 3①②③).

Common mistakes
- ·Investing (transferring funds or acquiring shares) BEFORE filing the declaration — the law requires prior declaration in most cases (Art. 5①). Filing after the fact may cause legal complications.
- ·Assuming all industries are open — certain sectors are restricted by Presidential Decree under Art. 4②③. Always verify your target industry first.
- ·Overlooking the 60-day post-acquisition filing window — this exception applies only to specific situations (e.g., listed company existing shares). Do not assume it applies to all investments (Art. 5②).
- ·Confusing equal treatment with automatic exemption from all Korean regulations — Art. 3② guarantees equal treatment, but all Korean laws still apply to foreign-invested companies.

제4의3조 (외국인투자기업 고용 실태조사) · 외국인투자 촉진법
제4조의3(외국인투자기업 고용 실태조사) ① 산업통상부장관은 촉진시책의 수립ㆍ시행, 외국인투자에 대한 지원 등을 보다 효율적으로 수행하기 위하여 외국인투자기업의 고용에 관한 실태조사를 3년마다 실시하여야 한다. ② 제1항의 실태조사는 다음 각 호의 사항을 포함한다. 1. 외국인투자기업의 지역별ㆍ업종별ㆍ직종별 고용실태 및 특성에 관한 사항 2. 외국인투자기업의 인력수요의 변화에 관한 사항 3. 외국인투자기업의 임금 등 근로조건에 관한 사항 4. 그 밖에 외국인투자기업의 고용현황과 관련하여 산업통상부장관이 필요하다고 인정한 사항 ③ 산업통상부장관은 제1항의 실태조사를 위하여 필요한 경우에는 관계 중앙행정기관의 장, 시ㆍ도지사, 「공공기관의 운영에 관한 법률」에 따른 공공기관(이하 "공공기관"이라 한다)의 장, 외국인투자기업 또는 외국인투자기업 관련 단체에 자료 또는 의견의 제출을 요청할 수 있다. 이 경우 요청을 받은 자는 특별한 사유가 없으면 그 요청에 따라야 한다.
제2조 (정의) · 외국인투자 촉진법
제2조(정의) ① 이 법에서 사용하는 용어의 뜻은 다음과 같다. 1. "외국인"이란 외국의 국적을 가지고 있는 개인, 외국의 법률에 따라 설립된 법인(이하 "외국법인"이라 한다) 및 대통령령으로 정하는 국제경제협력기구를 말한다. 2. "대한민국국민"이란 대한민국의 국적을 가지고 있는 개인을 말한다. 3. "대한민국 법인 또는 기업"이란 대한민국의 법률에 따라 설립된 법인 또는 사업자로 등록된 국내기업을 말한다. 4. "외국인투자"란 다음 각 목의 어느 하나에 해당하는 것을 말한다. 5. "외국투자가"란 이 법에 따라 주식등을 소유하고 있거나 출연을 한 외국인을 말한다. 6. "외국인투자기업이나 출연을 한 비영리법인"이란 외국투자가가 출자한 기업이나 출연을 한 비영리법인을 말한다. 7. "외국인투자환경 개선시설 운영자"란 외국인을 위한 학교 및 의료기관 등 외국인투자환경을 개선하기 위한 시설로서 대통령령으로 정하는 시설을 운영하는 자를 말한다. 8. "출자목적물(出資目的物)"이란 이 법에 따라 외국투자가가 주식등을 소유하기 위하여 출자하는 것으로서 다음 각 목의 어느 하나에 해당하는 것을 말한다. 9. "자본재"란 산업시설(선박, 차량, 항공기 등을 포함한다)로서의 기계, 기자재, 시설품, 기구, 부분품, 부속품 및 농업ㆍ임업ㆍ수산업의 발전에 필요한 가축, 종자, 수목(樹木), 어패류, 그 밖에 주무부장관(해당 사업을 관장하는 중앙행정
제3조 (외국인투자의 보호 등) · 외국인투자 촉진법
제3조(외국인투자의 보호 등) ① 외국투자가가 취득한 주식등으로부터 생기는 과실, 주식등의 매각 대금, 제2조제1항제4호나목에 따른 차관계약에 의하여 지급되는 원리금 및 수수료는 송금 당시 외국인투자의 신고내용 또는 허가내용에 따라 그 대외송금이 보장된다. ② 외국투자가와 외국인투자기업은 법률에 특별한 규정이 있는 경우 외에는 그 영업에 관하여 대한민국국민이나 대한민국 법인 또는 기업과 같은 대우를 받는다. ③ 대한민국국민이나 대한민국 법인 또는 기업에 적용되는 조세에 관한 법률 중 감면에 관한 규정은 법률에 특별한 규정이 있는 경우 외에는 외국투자가, 외국인투자기업, 제2조제1항제4호나목에 따른 차관의 대여자에 대하여도 같이 적용된다. ④ 제1항에 따른 대외송금의 절차에 관하여 필요한 사항은 대통령령으로 정한다.
